TERMS AND CONDITIONS

The following terms and conditions apply to all persons (“you” or “Attendee”) attending any workshop (“Workshop”) organised by TeamVibez LLC (“we” or “us”). Please ensure you have read and understand the following.  These terms and conditions apply only for TeamVibez Workshops.  If you choose to subscribe to any other TeamVibez services, such services will be subject to the MixHaus Terms and Condition, under a separate document.

1. Acceptance of terms and conditions. By registering and paying for a particular workshop, you are agreeing to the terms and conditions set out below (“Terms”) and they will be incorporated into the contract between us (“Contract”). You will ensure that you comply with these Terms. The Contract is formed when we send you a registration confirmation.
2.  The fee for attending the Workshop (“Registration Fee”) will be as stated on the registration form for the relevant Workshop from time to time. Prices are exclusive of applicable taxes except where expressly stated otherwise. All payments for the Registration Fee must be made in full at the time of completing the registration form and in any event prior to the date of the Workshop. If payment is not received within 7 days of your registration, your registration will be cancelled and the payment of any refund will be at our complete discretion. Payment will be made via our merchant account provider (and you consent to us passing your necessary details to the merchant account provider and to them processing necessary information about you) or directly to our bank account, as notified to you. We reserve the right to run price promotions as we think fit.
3. Refunds. Workshop comes with a limited 100% Money Back Guarantee. If you don’t feel it’s the right fit, submit your completed coursework by no later than the last day of the second week of the live program and we’ll issue you a full refund minus processing fees. The reason we ask for your completed coursework is simple: if you do the work, you’ll get tremendous value. Please note that eligibility for a refund has a firm deadline and also applies to payment plans, which means you will be responsible for all payments after the refund deadline has passed.
4.  There may be circumstances in which we need to cancel the Workshop. In such circumstances, we will provide you with a full refund of the amount of the Registration Fee that you have paid to us and we will make every effort to provide you with such refund within 60 days of the date of cancellation.  You may cancel your participation up to seven days after Workshop commencement and will be refunded the Workshop fee minus a 10% processing fee.
5. Postponement or change to venue. There may be circumstances in which we need to postpone the Workshop or change the venue at which Workshop is to be held and if we do, we shall advise you of this as soon as we possibly can. If the postponement is for more than 6 months after the publicised date of the Workshop, you may cancel by emailing us at [email protected] and we shall provide you with a full refund.
6.  If you are late at the workshop or prevented from attending the Workshop due to any reason whatsoever, we shall not be obliged to provide you with a refund or to wait to start the Workshop until you arrive.
7. Liability and Disclaimer. Our sole liability in relation to any cancellation, postponement or change of venue shall be limited to the price paid by you for such Workshop and we shall not be liable under any circumstances for any consequential losses.  In providing this workshop, no person is acting as your solicitor or providing you with legal advice. We are providing you with training, template documents and guidance.
8. Your obligations. If you act in any way which in our opinion is likely to cause any harm or nuisance to any person at the Workshop, or otherwise engage in disruptive behavior, you will be required to leave the Workshop and we shall not be liable to refund your Registration Fee or any other payment.
9. Intellectual Property. TeamVibez is the owner of all right, title and interest, including copyright, in all the Licensed Materials, or has the authority to enter into this Agreement on behalf of the owner.
   1. Authorized Use of Remixes. As part of the Workshop, you will remix musical material that is already protected under copyright.  You may not claim ownership of the original or the remixed materials, but you may share your remix on your personal portfolio as an example of your mixing work.  TeamVibez may use or share your re-mixes to advertising purposes.
   2. Unauthorized Use of Remixes. You may not upload your remixes to any distribution service or otherwise use it for monetization.  You may not share your remix in any way whatsoever if the material in question has not been formally released by its original owner.  You may not share the stems provided for the Workshop with anyone whatsoever.
10. Promotional materials and materials at the Workshop. You agree that we may include your details in any promotional materials relating to the Workshop and/or any materials used at the Workshop. We are not liable for errors or omissions contained in such information.  Unless otherwise stated, the copyright for any such promotional materials and any materials used at the Workshop (including course notes, slides, brochures, articles and case studies) belongs to us and may not be reproduced in any medium without our prior written consent.  You may use such materials for your own business purposes only and may not reproduce, publish or deal with such materials in any way for any commercial use.  We reserve the right to change the published agenda (including the workshop leader) or materials as we see fit.
11. Photography and filming. We may wish to photograph or film the Workshop and reserve the right to do so for the purposes of promoting future workshops or otherwise. You consent to us (or any other person attending the Workshop) photographing or filming you and any persons attending the Workshop with you. You may not photograph or video the Workshop without our prior consent.
12. Data protection. We will communicate with you using the contact details provided by you on the Registration Form for the purposes of the Workshop. We shall be entitled to pass on all of your contact details to the workshop contractors (such as workshop leaders).
13. Non-Disclosure. Whereas TeamVibez has developed a proprietary system which you desire to access for instruction; now, therefore, in consideration of the mutual promises contained herein, you agree as follows:
    1. Attendee Participation and Instruction: In order for the Attendee to receive instruction and participate on the TeamVibez and MixHaus platforms, the Attendee will have access to intellectual property and proprietary information of TeamVibez and other third parties. In addition, Attendee may load aspects of TeamVibez’s or MixHaus’ proprietary system into the Attendee's computer. The Attendee acknowledges that they are being provided access to these platforms and any third-party intellectual property solely for their participation and instruction during the course of the Workshop or program for which they have enrolled. The Attendee acknowledges that the system is a proprietary product of TeamVibez. The Attendee acknowledges they will not record (sound or screen,) or duplicate in any way, any aspect of the system or third party materials.
    2. Proprietary Rights: All applicable rights to patents, copyrights, trademarks and trade secrets of the system are retained exclusively by TeamVibez, and the Attendee shall acquire no rights or interests in the system, or any third party intellectual property, by virtue of their participation and instruction during the course of the program. The Attendee acknowledges that the confidentiality of the system is essential to the business of TeamVibez. The Attendee hereby agrees not to disclose to any person whatsoever at any time during or after their use of the system any aspect of the system, including the algorithms contained therein, or to permit any person whatsoever to examine or make copies of any tracks, recordings, music, listings, files, object code, source code , training materials, live mix streaming videos or other information regarding or generated by the system which come into the Attendee's possession or under the Attendee's control by reason of their use of the system. The Attendee acknowledges that disclosure of any information regarding the system will give rise to irreparable injury to TeamVibez, inadequately compensable in damages. Accordingly, the Attendee hereby consents to obtaining by TeamVibez of injunctive relief against the breach or threatened breach of the undertakings of the Attendee contained herein.
    3. Confidentiality: At the conclusion of the Workshop or Attendee’s enrollment in the program and use of the system, the Attendee shall, and hereby agrees to, erase or destroy copies of the system, any portions thereof, or any information generated thereby, whether such be in electronic, magnetic, printed or other form, unless explicitly instructed in writing. The Attendee further agrees not to disclose any conversation, communication, work, music or recordings that they have encountered from other Attendees, the Workshop, or any other TeamVibez Service. The Attendee further agrees that it will not copy or permit to be copied any system backup routine or similar routines of the system. The Attendee further agrees to take such steps as may be necessary or appropriate to maintain the confidentiality of the system during such time as the system may be evident on the Attendee's computer equipment or otherwise in the control of the Attendee, in a manner at least as secure as the Attendee maintains its own most confidential information and data.
14. Limitations of Liability. TeamVibez shall not in any way be liable for any loss or damage suffered by you whatsoever in relation to the Workshop, save that nothing in these Terms shall be deemed to limit the liability of any person for death or personal injury caused by negligence. Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, any fraudulent misrepresentation or any other liability for which it is unlawful to exclude or limit liability.  Our total liability for any matter arising out of the Contract shall in all circumstances be limited to the price paid by you for the Workshop and we shall not in any circumstances be liable to you for any consequential loss whatsoever.
15. Governing law. These Terms shall be governed by the laws of the State of Delaware and you hereby submit to the exclusive jurisdiction of the Delaware Courts.
